Terms of Use

1. Overview

These Terms of Use (“Terms”) form a binding agreement between you (“you,” “user,” “your”) and StrengthsBase LLC, an Illinois limited liability company (“StrengthsBase,” “we,” “us,” or “our”).

By creating an account, clicking “I agree,” or otherwise using any StrengthsBase service—including our website, platform, forms, mobile features, or communications—you agree to these Terms and our Privacy Policy.
If you do not agree, you may not access or use StrengthsBase.

2. Eligibility

You must be at least 18 years old to use StrengthsBase.
By using our services, you confirm that you meet this requirement and are capable of entering a binding agreement.

3. Scope of Services

StrengthsBase provides online tools, assessments, personalized resources, and communications to help students and professionals explore, develop, and connect their strengths with educational and career opportunities.

These Terms apply to all StrengthsBase products and platforms, including:

  • our website and web applications hosted on Wix;

  • digital forms and assessments hosted on Typeform;

  • email communications and newsletters managed through Mailchimp; and

  • any related mobile or third-party integrations.

4. User Accounts

To access personalized features, you must create an account and provide accurate, complete information.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You may request to delete your account at any time by contacting info@strengthsbase.app.
We reserve the right to suspend or terminate any account that violates these Terms, misrepresents institutional affiliation, or compromises platform security.

5. Payments and Subscriptions

When payments are available, transactions are processed through Wix Payments.

Individual (B2C) Accounts

  • You agree to pay any applicable fees displayed at checkout.

  • All fees are in U.S. dollars unless stated otherwise.

  • Refunds may be issued at our discretion in accordance with published refund policies.

Institutional (B2B) Clients

  • Institutions purchasing StrengthsBase under a separate written agreement are subject to the pricing, billing, and data-handling terms in that contract.

  • Institutional billing is not governed by these individual Terms.

We do not store full credit card details. Payment data is handled by Wix Payments under its own secure, PCI-compliant policies.

6. Acceptable Use

You agree to use StrengthsBase only for lawful, educational, or personal development purposes and to refrain from:

  • copying, distributing, or reverse-engineering our software or content;

  • misrepresenting your institutional affiliation;

  • using the platform to send spam or unauthorized marketing;

  • interfering with security or system operations; or

  • attempting to access another user’s account or data.

We reserve the right to restrict or revoke access for misuse.

7. Intellectual Property

All content, design, features, software, and materials made available through StrengthsBase—including our logo, trademarks, and digital assessments—are owned or licensed by StrengthsBase LLC and protected under U.S. and international copyright, trademark, and intellectual property laws.

Users may view and download materials for personal or institutional use only.
No content may be reproduced, redistributed, or modified without our written permission, except for approved partner institutions displaying StrengthsBase materials for authorized student use.

8. Communications and Email

By creating an account or subscribing to our mailing list, you consent to receive service-related communications, onboarding messages, and newsletters.
You may unsubscribe from newsletters at any time via the link in each email.
We use Mailchimp to manage email delivery and subscription preferences.

9. Data Privacy

Your use of StrengthsBase is also governed by our Privacy Policy.
That policy explains how we collect, use, and protect your personal information.
By agreeing to these Terms, you acknowledge that you have read and understood the Privacy Policy.

10. Institutional Partners (FERPA)

For universities or colleges contracting with StrengthsBase:

  • StrengthsBase acts as a “school official” with a legitimate educational interest under the Family Educational Rights and Privacy Act (FERPA).

  • We process student education records only to provide contracted services under the direct control of the institution.

  • We do not re-disclose or use those records for advertising or non-educational purposes.

  • Partner institutions retain ownership of their students’ data.

  • Upon contract termination, StrengthsBase will return or delete institutional data and certify destruction upon request.

A separate Data Processing Addendum (DPA) governs institutional data handling and overrides these Terms where applicable.

11. Third-Party Services

StrengthsBase integrates with third-party tools (e.g., Wix, Typeform, Mailchimp, Google Analytics).
These providers operate under their own privacy and security policies, which we review and bind contractually where required.
We are not responsible for any service outages or changes on their platforms.

12. Termination

You may terminate this agreement at any time by closing your account and ceasing to use StrengthsBase.
We may terminate or suspend your access immediately, with or without notice, if you breach these Terms, misuse the platform, or if we discontinue the service.

Upon termination, your right to use StrengthsBase ends immediately, and any provisions that by their nature should survive (e.g., Intellectual Property, Limitation of Liability) will remain in effect.

13. Disclaimers

StrengthsBase provides information and recommendations for educational and career purposes only.
We do not guarantee any specific academic, professional, or employment outcomes.
Your use of the platform is at your own risk and provided “as is” and “as available.”
We make no warranties—express or implied—regarding accuracy, completeness, or fitness for a particular purpose.

14. Limitation of Liability

To the fullest extent permitted by law:

  • StrengthsBase LLC and its affiliates are not liable for indirect, incidental, special, or consequential damages arising from your use of the platform.

  • Our total liability for any claim will not exceed the amount you paid (if any) to StrengthsBase in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow such exclusions, so parts of this limitation may not apply to you.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.

16. Changes to These Terms

We may modify these Terms periodically to reflect new features, legal requirements, or service changes.
The updated version will be posted on this page with a new “Last Updated” date.
If changes are significant, we will notify registered users by email or through in-app notices.
Continued use of StrengthsBase after changes take effect constitutes acceptance of the revised Terms.
